This Privacy Policy and Cookie Notice describes how Montera Infrastructure, LP (“Montera,” “we,” “us,” or “our”), collects, processes, and discloses Personal Information when you access our digital properties, including our website, any subdomains, and browser extensions (collectively, the “Website”), as well as through the provision of our products and services and our marketing activities (collectively, our “Services”). This Privacy Policy and Cookie Notice also describes the choices you have with respect to your Personal Information. There is no statutory or contractual obligation requiring you to provide your Personal Information to us. The provision of your personal data is voluntary for you. You may choose not to provide your Personal Information to us, however, in this case, you may not be able to use our Websites and receive our Services and/or to enable interaction with us. Also, the provision of your Personal Information may be necessary to allow us to perform a contract with you and/or to provide Services to you. For purposes of this Privacy Policy and Cookie Notice, “Personal Information” means any information that (either in isolation or in combination with other information held by us) enables you to be identified or recognized (such as your name or telephone number). Unless we state otherwise, we are the controller of the Personal Information we process under data protection and privacy laws, and we ensure that the systems and processes we use are compliant with applicable law. To the extent permitted by applicable law, your use of this Website or engagement in the Services with us signifies your understanding and acceptance of the terms of this Privacy Policy and Cookie Notice.

1. Personal Information We Collect

We collect Personal Information that you provide directly to us.  We also collect Personal Information (i) in the course of receiving services from you or your employer, (ii) through information you may provide through use of our Website or that we obtain through your use of our Website, (iii) from third parties or from publicly available sources and (iv) when you contact or request information from us, including regarding potential employment or other recruiting activities.  The Personal Information that we collect , includes:

  • Contact information, such as your first and last name, email address, physical address, and phone number that you may provide, including when you contact us with questions or feedback through the Website (including our Contact page), social media, phone calls, marketing campaigns, or otherwise.

  • Commercial and financial information relating to or required to complete your orders on or through the Services, including transaction-specific information, fees, billing information, and records related to acts we take on your behalf.

  • Job Applicant Data, such as identification data and contact information, educational, resumé and other data provided by you or obtained by us in connection with our hiring process.

  • Employee Onboarding Data, such as information necessary to form an employment or contractual relationship with you and for legal compliance (such as driver’s license, passport and visa demonstrating your right to work), to process payroll and provide employee benefits (such as bank account information, tax withholding elections, and beneficiary information), and disability or other information (where allowed by law) needed to provide workplace accommodations.

  • Audio, electronic and visual data, such as voice and video recordings when you leave us a phone message or participate in a recorded online meeting or event, or otherwise use computers, software, networks, communications devices, and other similar systems that we or our affiliates own or make available to you.

  • Legal and regulatory compliance data as required for purposes such as “know your client”, anti-money laundering, and market abuse regulations requirements, or as part of our customer onboarding process, which may include passport or other identification data, date of birth, home address, and other due diligence data.

  • Other service data, such as Personal Information relevant to the provision or receipt of services, in relation to any of your employees, customers or vendors, and customer feedback.

  • Cookies, geolocation, device and web analytics data, such as information collected when you visit our website (“Cookie(s)”), including your Internet Protocol address, device identifier, browser type and version, operating system, network, location, and time zone as well as the time, date, and length of time spent interacting with the Services; the pages you view, including the time spent on each page and clicks on each page; how you got to our Services (i.e., referring URL) and any links you click on to leave our Services; metadata about your use of our Services and your email conversions with us (including clicks and opens); and other interactions with us.  We refer you to our Cookie Notice below for information on how we use Cookies and to manage your Cookie preferences.
     

2. How We Use Your Personal Information

We may use your Personal Information for the following purposes and as otherwise permitted or required by applicable law.

  • Providing the Services and operating our business, including administering our Website, communicating with you about our Services, responding to your inquiries and requests such as for customer service, advising you of changes or additions to our Website or Services, processing your purchases or requests for products or services and related administration. 

  • Communicating With You About Your Job Application and Determining Your Qualifications and Suitability for Open Positions

  • Processing your Cookie, device and web analytics data to manage and provide you or your employer with access to the Website which we maintain for marketing and other business purposes, or based on your consent (to the extent required by law).

  • Carrying Out and Managing the Employee On-Boarding Process including processing your Personal Information as necessary to form an employment or contractual relationship with you. 

  • Research and development, including to better understand how users access and use our Website and Services, to improve our Website and Services, to respond to user preferences, and to create aggregate or non-identifiable data.

  • Authentication, integrity, security, and safety, including working to maintain the safety, security, and integrity of our Website and Services, databases and other technology assets, our business, as well as your account, orders, and deliveries.

  • Marketing, including to assist in marketing and advertising our Services on our Website.

  • Legal reasons, including to comply with federal, state, and local laws, cooperate with and respond to law enforcement requests, and as otherwise required by applicable law, court order, or governmental regulations. We may also use your Personal Information to protect our rights and interests, such as to resolve any disputes, to defend any legal claims, to enforce this Privacy Policy and Cookie Notice or any other policy, to protect the rights or property of another, or to prevent harm.

  • Change of ownership, including to evaluate or conduct a merger, sale, or other acquisition of some or all of our organization or its assets.
     

3. Retention of Your Personal Information

We retain Personal Information for as long as is necessary to fulfill the purposes for which we collected it, or to the extent permitted under applicable law.
 

4. How We Disclose Your Personal Information

The Personal Information that we collect may be shared and processed with the following parties as consistent with this Privacy Policy and Cookie Notice, and as otherwise permitted or required by applicable law:

  • Corporate affiliates, such as any future corporate parent, subsidiaries, and affiliates, and other companies under common control and ownership.

  • Service providers that provide services to us or on our behalf, including to provide, support, and improve our Services, provide and support our technical infrastructure, and for business services such as payment processing. Service providers may also include professional advisors where necessary in the course of rendering professional services to us. We may also rely on service providers to provide marketing, advertising, and business analytics based on your interaction with us or our Services. 

  • Governmental Authorities, such as regulatory authorities, law enforcement and other governmental authorities, , in accordance with applicable law or when we otherwise believe in good faith that the provision of such information is required by applicable law, rule or regulation, such as in connection with an investigation or assertion of our legal defenses or for our compliance matters or that we deem to be necessary or appropriate for the purposes described in Section 2. How We Use Your Personal Information.

  • Business transferees, such as parties (and their advisors) to business transactions or proposed transactions involving a corporate divestiture, merger, consolidation, acquisition, reorganization, sale, or other disposition of all or any portion of the business or assets of, or equity interests in Montera (including, in connection with insolvency, bankruptcy, or similar proceedings).
     

5. Cookies and Other Technologies

The Website uses cookies, which facilitate some of the automatic collection described above. Cookies are files that websites store on a visitor’s device to uniquely identify the visitor’s browser or to store information or settings in the browser. Cookies may expire at the end of a browsing session or may remain stored on your device. Cookies may allow third parties like our service providers to collect data needed for the services they provide to us. The Website uses the following types of cookies:

  • Necessary. To enable the basic functionality of the Website and to provide you with certain features.

  • Functional. To enhance the performance and functionality of our Website.

  • Analytics. To help us understand user activity on the Website, including which pages are most and least visited and how visitors move around the Website, as well as user interactions with emails we send.

Most browsers let you remove or reject cookies. To do this, follow the instructions in your browser settings. Most browsers offer settings that allow you to configure your device to prevent images that would include web beacons/clear GIFs from loading.
 

6. Do Not Track

Some Internet browsers may be configured to send “Do Not Track” signals to the online services that you visit. Please note that given the lack of standard technology practices by companies that offer browsers, we currently do not support “Do Not Track” browser settings or similar signals at this time. The Website may contain links to websites, mobile applications, and online services operated by third parties. In addition, our content may be integrated into web pages or other online services that are not associated with us. These links and integrations are not an endorsement of, or representation that we are affiliated with, any third party. We do not control websites, mobile applications, or online services operated by third parties, and we are not responsible for their actions.

We use appropriate technical, organizational, and physical safeguards designed to protect the confidentiality, integrity, and security of the Personal Information we collect, both when we receive it and during transit. Please be aware that despite our efforts, security risk is inherent in all Internet and information technologies and we cannot guarantee the absolute security of your Personal Information. Montera is not liable or responsible for use or disclosure of your Personal Information that is the result of unauthorized or illegal access to our systems or those of third parties. 9. Children 

Our Services are not intended for or directed at children under 18 years of age, nor do we knowingly collect Personal Information from children under 18 years of age. If we learn that we have collected Personal Information through our Services from a child under 18 in a manner prohibited by law, we will comply with legal requirements to delete it. 10. Your California Privacy Rights

Under California Civil Code Section 1798.100 (California Consumer Privacy Act), California residents have certain data protection rights regarding their Personal Information. These rights, which may be subject to limitations and/or restrictions include: (i) the rights to disclosure, deletion, modification and access, (ii) the right not to be discriminated against based on requests made vis a vis your Personal Information; and (iii) the right to opt out of having your Personal Information shared or sold. How to Contact Us below.  Individuals who submit requests for access, correction, or erasure to or of their Personal Information will be required to verify their identity by answering certain questions. We will not disclose or delete any information until identity is verified.

 

The following are categories of Personal Information defined under the Act we may collect, receive, or maintain in the course of operating our business: Identifiers, Personal information described in the California Customer Records statute (Cal. Civ. Code § 1798.80(e)), Protected classification characteristics under California or federal law, Commercial information, Biometric information, Internet or other electronic network activity, Geolocation data, Sensory data, Professional or employment-related information, Non-public education information, and inferences drawn from other personal information.

If you are making a request for access, we may not be able to provide specific pieces of Personal Information if the disclosure creates a substantial, articulable, and unreasonable risk to the security of your Personal Information or our systems or network, or the systems or networks of our customers, or violates any law. 

If you are an employee or contractor of Montera, we may not be able to limit the sharing of your Personal Information with our service providers and customers; by providing Personal Information to us, you acknowledge this limitation and agree to such sharing as necessary to conduct our business.

We do not sell Personal Information.
 

12. Changes to This Privacy Policy

We reserve the right to modify this Privacy Policy at any time. If we make changes to this Privacy Policy, we will notify you by updating the date of this Privacy Policy and publishing it on the Website. If we make material changes, where required by law we will also take steps to provide notification of changes in another way that we believe is reasonably likely to reach you, such as by email. Any modifications to this Privacy Policy will be effective upon our publishing the modified version (or as otherwise indicated at the time of posting). In all cases, your use of our Services after the effective date of any modified Privacy Policy indicates your acceptance of the modified Privacy Policy.
